1. Introduction
These Terms and Conditions ("Terms") govern the relationship between [Company Name] ("the Company", "we", "our", or "us") and the client ("Client", "you", or "your") who engages in waste management services provided by the Company. By accessing or using our services, you agree to be bound by these Terms. Please read them carefully.
2. Services Provided
The Company acts as an intermediary (broker) in facilitating waste management solutions, including but not limited to waste collection, transportation, recycling, disposal, and compliance services. The scope of services be outlined in the specific contract or agreement signed between the Company and the Client.
3. Waste Collection and Disposal
- Scope of Service: The Company will arrange for the collection and disposal of waste on behalf of the Client as per the agreed schedule and quantities outlined in the contract.
- Waste Type: The Client must accurately describe the type, quantity, and classification of waste to be managed. The Company will not be responsible for managing hazardous or restricted waste unless explicitly stated in the contract.
- Waste Responsibility: The Client remains responsible for ensuring that waste is properly categorised and that all relevant legal and regulatory requirements for disposal are met.
4. Pricing and Payment Terms
- Fees: The Client agrees to pay the fees for waste management services as outlined in the contract or service agreement. The Company reserves the right to modify pricing, subject to prior written notice.
- Payment Terms: Payment for services is due in accordance with the payment schedule outlined in the contract.
5. Client Obligations
- Accurate Information: The Client must provide accurate, complete, and up-to-date information regarding the waste to be managed, including quantity, type, and any special disposal or handling requirements.
- Compliance with Regulations: The Client remains ultimately responsible for ensuring that all waste generated complies with relevant regulations.
- Access: The Client must ensure that the Company’s personnel and contractors have access to the site for waste collection and disposal in a safe and timely manner.
- Standing Charges: The client is responsible for any standing charges imposed by third-party haulage for delays to operations.
6. Company Obligations
- Waste Disposal: The Company will use commercially reasonable efforts to ensure that waste is managed in compliance with relevant waste disposal and recycling regulations.
- Subcontracting: The Company may engage third-party contractors for the collection, transportation, and disposal of waste, but remains responsible for ensuring that such contractors adhere to relevant standards.
7. Liability
- Limitation of Liability: To the fullest extent permitted by law, the Company’s liability to the Client for any claim arising out of or in connection with the waste management services is limited to the total fees paid by the Client for the specific service giving rise to the claim. The Company will not be liable for any indirect, consequential, or special damages, including loss of profits, business interruption, or reputational damage.
- Indemnity: The Client agrees to indemnify and hold the Company harmless from any claims, losses, liabilities, or expenses (including legal fees) arising out of the Client’s failure to comply with applicable laws and regulations or from the Client’s breach of these Terms.
8. Term and Termination
- Term: The term of the agreement will commence on the date the Client engages the Company’s services and will continue for the duration specified in the contract unless terminated earlier by either party.
- Termination for Convenience: Either party may terminate the agreement by providing written notice 30 days prior to the desired termination date.
- Termination for Breach: Either party may terminate the agreement immediately if the other party materially breaches any provision of these Terms and fails to remedy the breach within 5 working days after receiving written notice of such breach.
- Effect of Termination: Upon termination, the Client agrees to pay for all services rendered up to the date of termination. Any outstanding fees for services already provided must be settled in accordance with the payment terms.
9. Confidentiality
Both parties agree to keep all confidential information shared in the course of the business relationship confidential and not disclose it to any third party without prior written consent, except as required by law or regulatory authorities.
10. Data Protection
The Company will handle all personal data in compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR) if applicable. Personal data will only be used for the purposes of providing services under the agreement and will not be shared with third parties unless required by law or necessary for the performance of services.
11. Force Majeure
Neither party shall be liable for failure to perform any of its obligations under these Terms if such failure is caused by circumstances beyond its reasonable control, including but not limited to, natural disasters, strikes, governmental restrictions, or failure of suppliers or third-party contractors to perform their obligations.
12. Miscellaneous
- Entire Agreement: These Terms, together with any specific contract or service agreement, constitute the entire agreement between the Company and the Client. Any prior agreements or understandings, whether written or oral, are superseded by these Terms.
- Amendments: The Company reserves the right to modify or amend these Terms at any time. The Client will be notified of any changes, and continued use of the services after such notification will constitute acceptance of the revised Terms.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
By engaging our services, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
